Lockheed Martin Acquires Ultra Maritime in $3.45B Naval Deal
Lockheed Martin is purchasing Ultra Maritime for $3.45 billion, adding key anti-submarine warfare capabilities to its defense portfolio.
Lockheed Martin has agreed to acquire Ultra Maritime, a specialist naval defense firm, for $3.45 billion in a deal that signals the aerospace and defense giant's intent to deepen its footprint in undersea and anti-submarine warfare — one of the most strategically contested domains in modern military competition.
Ultra Maritime is currently owned by Advent International, a private equity firm, and has built its reputation around anti-submarine technology — the sensors, sonar systems, and detection platforms that navies rely upon to identify and neutralize submarine threats. As great-power rivalry intensifies and adversaries expand their submarine fleets, demand for these capabilities has grown considerably, making Ultra a strategically attractive target.

For Lockheed Martin, the acquisition represents more than a balance-sheet transaction. Folding Ultra Maritime's specialized expertise into Lockheed's existing naval and maritime systems business could allow the company to offer more integrated, end-to-end solutions to the U.S. Navy and allied partners — a competitive advantage in an era of increasingly bundled defense contracting. Anti-submarine warfare has re-emerged as a priority for NATO navies following heightened concerns over Russian submarine activity and China's rapid expansion of its undersea fleet.
The deal also reflects a broader pattern in the defense sector, where prime contractors are absorbing niche technology firms to lock in specialized intellectual property before rivals can. Private equity ownership — as was the case with Advent International holding Ultra — has become a common pipeline for such acquisitions, with PE firms investing in defense-adjacent companies and ultimately exiting to strategic buyers at a premium.
